Terms of service

Effective September 29, 2026

These terms are the agreement between LedgerLift Inc, doing business as LedgerIt (“LedgerIt”, “we”, “us”), and the business that signs up for LedgerIt (“Customer”, “you”). By creating an account, or by using LedgerIt on behalf of a business, you accept them for that business and confirm you have authority to do so. If you do not accept them, do not use LedgerIt.

1. What LedgerIt is

LedgerIt is accounting software for companies. It keeps a double-entry ledger for each set of books you create (an “Entity”), imports transactions from services you connect, proposes how to categorize them, and produces financial statements and close workflows (together, the “Service”).

LedgerIt is a tool, not your accountant. We are not a certified public accounting firm, a tax preparer, an auditor, a lawyer or a financial adviser, and nothing in the Service is accounting, tax, legal or investment advice. You remain responsible for your books, for reviewing what the Service produces, for your tax filings and for any statement you give to investors, lenders, auditors or authorities.

2. Who may use it

The Service is for businesses. It is not offered to consumers, and it is not directed at children. Every person who uses it (a “User”) must be at least 18 years old and act on behalf of a Customer. You are responsible for everyone you invite to an Entity, for the role you give them (owner, admin, accountant, member or viewer), and for everything done under their logins.

Keep sign-in credentials, passkeys and devices secure, and tell us at security@ledgerit.ai as soon as you suspect an account has been compromised.

3. Your data

“Customer Data” is what you or your connected services put into LedgerIt: transactions, balances, payroll runs, invoices, documents, notes and the ledger built from them. You own it. You grant us a limited licence to host, copy, process and display Customer Data only to provide, secure and support the Service for you, and as the law requires.

  • We do not sell Customer Data, and we do not use it to advertise to you or anyone else.
  • We do not use Customer Data to train generative AI models, and the AI provider we use to propose categories is contractually barred from training on it. See section 5.
  • We may use aggregated and de-identified information about how the Service is used, which cannot identify you, a User or a counterparty, to run and improve the Service.
  • Where Customer Data contains personal data, we process it on your behalf and under your instructions. Our data processing addendum applies on request at support@ledgerit.ai. How we handle personal data is described in the privacy policy.

You are responsible for having the right to give us Customer Data, including any notice to or consent from employees, contractors and customers whose information it contains, such as payroll records.

4. Connected services

LedgerIt can connect to third-party services you already use, such as your bank, card, payments and payroll providers. When you connect one, you authorize us to retrieve data from it on your behalf. Those services are run by other companies under their own terms, and we are not responsible for their availability, their data or changes to their APIs. Some connections are marked as early or preview in the product; they may be incomplete and may change or be withdrawn. You can disconnect a service at any time in Settings.

5. Automated categorization

The Service uses a third-party AI model to propose how transactions should be categorized. A proposal is a suggestion, and it can be wrong. A proposal is accepted without review only when the model is confident and the amount is small; everything else waits for a person. Rules you write, and categories a person chooses, always take precedence. You are responsible for reviewing what is posted to your ledger.

6. Acceptable use

You will not, and will not let anyone else:

  • use the Service for anything unlawful, including fraud, money laundering or evading sanctions;
  • record transactions you know to be false, or use the Service to mislead investors, lenders or auditors;
  • upload malware, or content that infringes someone else’s rights;
  • probe, scan or test the Service’s security, except under a responsible-disclosure arrangement with us;
  • access another Entity’s data, get around rate limits or access controls, or overload the Service;
  • copy, resell or reverse engineer the Service, or use it to build a competing product; or
  • use the API or any automated means except as documented.

We may suspend access that breaks this section or puts the Service or other customers at risk. We will tell you why, and restore access once the problem is fixed, unless the law prevents it.

7. Plans, billing and automatic renewal

Paid plans are subscriptions billed in advance, monthly or annually, as shown at checkout. A subscription renews automatically at the end of each billing period, at the price then in effect, and your payment method is charged until you cancel. Before you subscribe, the checkout shows the price, the billing period and how to cancel, and we confirm those terms by email afterwards.

  • Cancelling. You can cancel at any time, online, in Settings, without contacting us. The cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Price changes. We will tell you at least 30 days before a price change takes effect. It applies from your next renewal, and you can cancel before then.
  • Free trials. If a trial converts into a paid plan, we tell you the date and the price before the first charge, and you can cancel before it.
  • Refunds. Fees are non-refundable except where the law requires otherwise, or where we end the Service for convenience under section 12, in which case we refund the unused part of any prepaid fee.
  • Taxes. Fees exclude taxes. You pay any sales, use, value-added or similar taxes on them, other than taxes on our income.
  • Late payment. If a payment fails and is not fixed within 14 days of our notice, we may suspend paid features. You keep read access to your books while it is resolved.

8. Our intellectual property

We own the Service, its software, design and documentation, and the LedgerIt name and logo. These terms give you a right to use the Service while your subscription lasts; they do not transfer ownership of anything. If you send us feedback or suggestions, we may use them without obligation to you.

9. Copyright complaints

We respect copyright and respond to notices under the U.S. Digital Millennium Copyright Act. If you believe something on the Service infringes your copyright, send a notice to our designated agent with: your signature; the work you say is infringed; the material you say infringes it and where it is; your contact details; a statement that you believe in good faith the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act for the owner.

Designated agent: Copyright agent, LedgerLift Inc, support@ledgerit.ai. We remove or disable material that is the subject of a valid notice, accept counter-notices as the Act provides, and end the accounts of repeat infringers.

10. Confidentiality and security

Each party will protect the other’s non-public information with at least reasonable care, and use it only to perform under these terms. We maintain administrative, technical and physical safeguards designed to protect Customer Data, including encryption in transit, separation of each Entity’s data, and access limited to staff who need it. If we become aware of unauthorized access to Customer Data, we will notify you without undue delay and tell you what we know.

11. Email and other communications

We send the messages the Service needs, such as sign-in links, security alerts, receipts and notices about these terms, to the email address on the account. You cannot opt out of those while you have an account. Product news and marketing are sent only if you opt in or where the law otherwise allows, always carry an unsubscribe link that works in one step, and include our postal address.

12. Term, termination and your data afterwards

These terms apply from when you first use the Service until your account is closed. You may close your account at any time. We may end these terms for convenience with 30 days’ notice, or at once if you materially breach them and do not cure the breach within 14 days of our notice.

For 30 days after the account closes, we will give you an export of your ledger, statements and documents on request. After that we delete Customer Data as described on the data deletion page, except what the law requires us to keep. Sections 3, 8, 13, 14, 15 and 17 survive the end of these terms.

13. Warranties and disclaimers

We will provide the Service with reasonable skill and care and in line with its documentation. Otherwise, and to the extent the law allows, the Service is provided “as is” and “as available”. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that data from connected services or AI proposals are accurate.

14. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible. Each party’s total liability under these terms is limited to the fees you paid us in the 12 months before the event that gave rise to the claim. These limits do not apply to your payment obligations, to either party’s indemnity obligations, or to liability that cannot be limited by law.

15. Indemnity

We will defend you against a third-party claim that the Service, as we provide it, infringes that party’s intellectual property, and pay the resulting damages or settlement. You will defend us against a third-party claim arising from Customer Data or from use of the Service in breach of section 6, and pay the resulting damages or settlement. The party defended must notify the other promptly, let it control the defence, and cooperate reasonably.

16. Changes to these terms

We may update these terms. For a material change, we will give account owners at least 30 days’ notice by email or in the product before it takes effect. If you do not agree to the change, you may cancel before it applies; continuing to use the Service after it applies means you accept it.

17. General

  • Governing law. These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The state and federal courts in Delaware have exclusive jurisdiction over any dispute.
  • Assignment. Neither party may assign these terms without the other’s consent, except to a successor in a merger, acquisition or sale of substantially all its assets.
  • Force majeure. Neither party is liable for a delay caused by events beyond its reasonable control.
  • Entire agreement. These terms, any order form and the data processing addendum are the whole agreement. If an order form signed by both parties conflicts with these terms, the order form wins.
  • Severability and waiver. If a provision is unenforceable, the rest still applies. Not enforcing a provision is not a waiver of it.
  • Export and sanctions. You will not use the Service in violation of U.S. export control or sanctions laws.
